Important Note
The property is legally owned by the Orange Grove International Foundation, a Panamanian foundation. Instead of completing a conventional real-estate title transfer, the transaction may be structured through the transfer of control of the Foundation to the buyer.
Under this structure, the buyer becomes a member of the Foundation’s Board and obtains full control over the Foundation and its assets, including the Shangri-La property. The Foundation remains the registered legal owner of the property, while control and beneficial use of the asset pass to the buyer through the Foundation’s governing structure.
This alternative may offer significant savings in legal, administrative, and transfer-related costs. Estimated closing expenses are approximately USD 2,000, compared with approximately USD 20,000 for a conventional property title transfer, although actual costs may vary depending on the transaction and the parties’ legal requirements.
All documentation and changes to the Foundation’s governing structure are completed formally through the Foundation and the appropriate legal process. This provides an efficient and potentially more cost-effective alternative to a conventional real-estate title transfer.
A traditional property title transfer may also be considered if the buyer prefers that option; however, any additional legal, administrative, and transfer-related costs associated with this option would be borne by the buyer.
